DiligenceVault AI Terms of Use

This AI terms of use (“AI Terms of Use”) outlines the acceptable use of the AI Services features provided by DiligenceVault, which aims to ensure responsible, ethical, and lawful use of DiligenceVault technology.

 

1. DEFINITIONS

AI” or “Artificial Intelligence” means any and all training, self-improving, or machine learning software, algorithms, hardware or other artificial intelligence tools or aids of any kind.

AI Inputs” means any and all information which are, in whole or in part, used or relied upon, or licensed, sold, otherwise provided or accessed, as part of the AI, including but not limited to, data, writings, works of authorship, graphics, pictures, recordings, any electronic or other information, text or numerals, audio or visual content, or materials of any nature or description.

AI Outputs” means any and all services, products, data, writings, works of authorship, graphics, pictures, recordings, any electronic or other information, text or numerals, audio or visual content, or materials of any nature or description generated or derived from any AI or AI Inputs.

“Customer(s)” means an entity or natural person that signed a Subscription Services Agreement with DiligenceVault.

“DiligenceVault” means Diligence Vault Corp.

“Intellectual Property Rights” means patent rights (including, without limitation, patent applications and disclosures), inventions, copyrights, trade secrets, know-how, data and database rights, mask work rights, and any other intellectual property rights recognized in any country or jurisdiction in the world.

 “Service(s)” means the use of any DiligenceVault’s software modules, related sites, apps, communications or any other services provided by the DiligenceVault.

“Subscription Services Agreement” means the master service agreement signed between DiligenceVault and Customer.

“User” means any user of DiligenceVault Services, either (i) employees, contractors, agents, affiliates or any authorized users of Customer’s, (ii) a person on a Services trial, or (iii) a person who received an invitation to use DiligenceVault’s Services free of cost.

 

2. AI FUNCTIONALITIES AND SERVICES

This AI Terms of Use is subject to the Terms and Conditions (i) of the Subscription Services Agreement between Customer and DiligenceVault, if any, or (ii) the Terms and Conditions applicable to the User.

 

3. PURPOSE AND SCOPE

DiligenceVault AI Services are designed to assist Users in tasks such as writing, content creation, data analysis, and automation in connection with the use of the Services (“Intended Purposes”).

 

4. USER REPRESENTATIONS

a. User shall use DiligenceVault AI features only for the Intended Purposes and according to the applicable law, regulations, and this AI Terms of Use;

b. Users shall not use DiligenceVault AI features for any illegal activities, including but not limited to fraud, harassment, impersonation, or violation of Intellectual Property Rights;

c. Users shall not represent that AI Outputs were human-generated when they were not;

d. Users shall respect the privacy of others and shall not use AI Services to generate content that discloses personal or confidential information without proper authorization;

e. Users must not compromise security or gain unauthorized access to DiiligenceVault systems;

f. Users commit to maintaining proper oversight and accountability over the use of the AI Services. This includes establishing procedures for monitoring the performance of the AI Services and ensuring that any decisions or actions taken based on the AI Outputs are reviewed and approved by qualified personnel.

 

5. USE CASES DISCLOSURE AND RESPONSIBILITIES OF THE PARTIES

a. DiligenceVault’s Responsibility for AI Services:

(i) Monitoring and overseeing the use of AI in its Services, and assessing compliance with AI regulations.

(i) Securing and maintaining all necessary licenses, permissions, and rights required for User to use any AI features, tools, or components incorporated within DiligenceVault’s Services.

(iii) Use the Azure OpenAI model, which is uniquely turned with additional instructions and restrictions tailored for DiligenceVault’s User’s use cases.

(iv) Operating a closed license system and having all data entered and generated within the DiligenceVault AI assistants secure and not used to train public-facing language models.

(v) Use robust security measures in accordance with industry data protection standards, including encryption in transit and at rest.

(vi) Ensure that the User’s data and generated texts are kept confidential and isolated from other platform users.

 

b. User Understanding of AI Service:  The User acknowledges and agrees that any AI Outputs, results, or recommendations generated by DiligenceVault AI Services are based on probabilistic algorithms.

 

c. User Responsibility for Review and Verification: The User shall be solely responsible for reviewing, validating, and verifying the accuracy, completeness, and appropriateness of all AI Outputs. The User agrees to exercise due diligence and independent judgment in assessing the suitability of the AI Outputs for their intended use.

 

d. User Responsibility for Monitoring and Oversight: Qualified professionals must review advice generated by the AI Services and always ensure that such AI Output is tailored to the specific context and if needed, consult with advisors to ensure that AI Outputs comply with applicable laws, regulations, and industry standards.

 

6. RIGHT TO REVIEW AND MONITOR

DiligenceVault reserves the right to review and monitor the use of the AI Services to ensure compliance with this AI Terms of Use. Non-compliant content may be removed, and User access to the AI Services and DiligenceVault Services as a whole may be restricted or terminated.

 

7. REPORTING MISUSE, HARMFUL CONTENT, AND ANY OTHER ANOMALIES:

Users are encouraged to report any misuse, harmful content or any other anomalies generated by AI Services to DiligenceVault support team by using the email: ask@diligencevault.com

 

8. AMENDMENTS

These AI Terms of Use may be updated from time to time to reflect changes in technology, regulations, or business practices. Users will be notified of any significant changes. By continuing to use the AI Services provided by DiligenceVault, User agrees to be bound by and comply with this AI Terms of Use.

 

9. ACKNOWLEDGEMENT

By using DiligenceVault AI Services, the User acknowledges that they have read, understood, and agree to be bound by this AI Terms of Use.
